Welcome to the apps created by membri ("we," "us," or "our"), including Chefly, Shine, Roast Me, and any future applications (collectively, the "Service"). By accessing or using our mobile applications, websites, or related services, you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, you may not use the Service.

2. Description of the Service

Our apps provide various AI-powered features:

• Chefly — Healthy recipe creation, shopping lists, step-by-step cooking guides, and recipes from around the world
• Shine — Positive thinking tools, widgets with inspiring quotes, and customizable designs
• Roast Me — AI-generated roasts and feedback based on profile photos, for entertainment purposes

The Service may include experimental features, beta releases, and integrations with third-party platforms. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

4. Account Eligibility and Security

The minimum age to use our apps varies by app. Some apps may be suitable for users 13 and older; others may require you to be 16 or 18. Please check the app description in the App Store for the age rating of each app. For users in the European Union, you must be at least 16 years old unless a lower age is permitted by local law.

You are responsible for:

• Maintaining the confidentiality of your credentials
• Providing accurate, current account information
• Limiting access to your devices

5. User Inputs and Generated Content

5.1 Your Inputs

You retain all rights to prompts, text, photos, recipes, and other content you upload to the Service ("Inputs"). By submitting Inputs, you grant membri a worldwide, non-exclusive, transferable, sublicensable license to host, process, reproduce, and display the Inputs solely to operate, improve, and provide the Service.

5.2 AI-Generated Outputs

Outputs produced by the Service ("Outputs")—including recipes, roasts, edits, and suggestions—may be influenced by training data, model limitations, and user instructions. Subject to these Terms and applicable law, membri assigns to you any rights it may have in the Outputs. You are solely responsible for ensuring that the Outputs and your use of them comply with all applicable laws, third-party rights, and platform policies.

5.3 Prohibited Content

You agree not to use the Service to generate or distribute content that:

• Attempts to circumvent safety systems, rate limits, or usage restrictions
• Includes medical, financial, or legal advice represented as professional guidance
• Promotes violence, harassment, self-harm, or illegal activity
• Contains sexual content involving minors or other exploitative imagery
• Violates intellectual property, publicity, or privacy rights

We may review or remove content and suspend accounts for violations of these Terms or our usage guidelines.

6. Subscriptions, Billing, and Refunds

6.1 Freemium Model

Our apps are provided on a freemium basis: free to download with optional paid features or subscriptions. Access to certain features may require a subscription or one-time purchase.

6.2 Pricing and Auto-Renewal

Subscription plans and pricing are described in the applicable app marketplace. Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle, and payment is charged to the payment method on file.

6.3 Platform Fees

Purchases made through the Apple App Store or Google Play are billed by the respective storefront and subject to their terms. We use Superwall to manage subscription flows within the app.

6.4 Refunds

Refund requests are evaluated case by case. For purchases made through Apple, Google, or other third-party platforms, you must request refunds directly from those providers in accordance with their policies.

7. Trials, Credits, and Usage Limits

We may provide promotional trials, credits, or beta features with usage caps. We reserve the right to modify or revoke these benefits at any time. Credits and trial access have no cash value and expire as stated in the offer.

8. Data Practices

Our collection, use, and sharing of personal information are described in the membri Privacy Policy. By using the Service, you consent to the practices described there.

9. Service Availability, Updates, and Support

We aim to keep our apps running smoothly but do not guarantee uninterrupted access. Maintenance windows, updates, and unforeseen outages may occur. We may release updates or modifications that change how features work. Some updates may be required to continue using the Service. Support is available via falete1380@gmail.com.

10. Third-Party Services and Integrations

Our apps may connect with services such as OpenAI (for AI features), Supabase (for data storage), Superwall (for subscriptions), Apple iCloud, or other platforms. Your use of those integrations is subject to the third-party terms. We are not responsible for third-party services and do not guarantee their availability or behavior.

11. Intellectual Property

Our apps, including their software, visual identity, trademarks, and documentation, are owned by membri or its licensors. Except for the rights expressly granted in these Terms, we reserve all rights, title, and interest in the Service. You may not reverse engineer, decompile, or attempt to derive source code, nor may you remove proprietary notices.

12. Acceptable Use

You agree to:

• Use the Service only for lawful purposes
• Comply with all applicable laws, including export controls and sanctions
• Refrain from interfering with or disrupting the Service or infrastructure
• Avoid misrepresenting Outputs as created by humans when disclosure is required by law or platform policies

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MEMBRI DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ACCURATE, SECURE, ERROR-FREE, OR UNINTERRUPTED. AI-GENERATED CONTENT (RECIPES, ROASTS, EDITS, ETC.) IS FOR ENTERTAINMENT OR ASSISTANCE ONLY AND SHOULD NOT REPLACE PROFESSIONAL ADVICE. YOU ASSUME ALL RISK FOR USE OF THE SERVICE AND OUTPUTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMBRI AND ITS DIRECTORS, EMPLOYEES, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO MEMBRI FOR THE SERVICE DURING THAT PERIOD, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless membri and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your Inputs, Outputs, or breach of these Terms.

16. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, legal requirements, or usage policies. You may cancel your subscription at any time through your account settings or the relevant app marketplace. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will remain in effect, including Sections 5, 11, 13, 14, and 15.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Spain, without regard to conflict-of-law principles. The parties agree to the exclusive jurisdiction of the courts of Spain. Where prohibited by law, mandatory consumer protection rights supersede this clause.

18. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not constitute a waiver of that right.

19. Changes to These Terms

We may update these Terms to reflect changes in technology, regulations, or our business. When we make material changes, we will notify you via email, in-product messaging, or by posting an update on our website. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
